Please read these terms carefully as they govern your use of PropertyFile.

By accessing PropertyFile you shall be deemed to have accepted these terms. If you do not accept these terms, you should immediately cease using PropertyFile.

ALTO may modify these terms at any time and any such modifications are effective immediately from the time they are included on PropertyFile. You agree to review these terms regularly to ensure you are aware of any such modifications.

1. General Information

• 1.1
  References to “ALTO” mean Vebra Solutions Limited, a company registered in England and Wales under company number 04529917, whose registered office is at The Cooperage, 5 Copper Row, London SE1 2LH.

2. Service Access

• 2.1
  Whilst ALTO endeavours to ensure that PropertyFile is normally available, it shall not be liable if for any reason PropertyFile is unavailable at any time or for any period.

3. Registration

• 3.1
  If you choose, or you are provided with, a username, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.
• 3.2
  We have the right to disable any username or password, at any time for any reason, including without limitation if you have failed to comply with any of the provisions of these Terms.
• 3.3
  If you know or suspect that anyone other than you knows your username or password, you must promptly notify us at support@propertyfile.co.uk.

4. Intellectual Property

• 4.1
  The copyright and all other intellectual property rights (including but not limited to database rights, trade marks and design rights in all cases whether registered or not) in all materials included on PropertyFile (including without limitation, data, designs, texts, pictures, graphics, statistics, logos, images and the selection and arrangement of them) and all software in PropertyFile belong to ALTO or its licensors unless otherwise acknowledged. All rights are reserved.
• 4.2

  Whilst you may print or download extracts from PropertyFile for your personal use you may not otherwise download, copy, reproduce, reverse engineer, disassemble, redistribute, republish, transmit, adapt, alter, create derivative works from or otherwise extract or reutilise any material contained on PropertyFile for commercial purposes without ALTO’s prior written permission and unless you:

    Acknowledge ALTO as the source of the material; and
  • 4.2.2
    Inform the third party to whom you are disseminating the information of these Terms and the fact they apply to them.
• 4.3
  Infringement of ALTO’s intellectual property rights in PropertyFile and/or the materials associated with it may lead to criminal and/or civil sanctions in the UK and/or in other countries.

5. Linking

• 5.1
  Linking to and/ or framing of this PropertyFile without ALTO’s prior written consent is strictly prohibited.
• 5.2
  Links to third party sites containing information on ALTO and/or its subsidiaries and associates are provided for the reader’s convenience only. ALTO is not the publisher of such information and takes no responsibility of any kind for it.

6. Viruses, Hacking and other offences

• 6.1
  You must not misuse PropertyFile in any way, including but not limited to, by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to PropertyFile, the server on which PropertyFile is stored or any server, computer or database connected to PropertyFile. You must not attack PropertyFile via a denial-of-service attack or a distributed denial-of-service attack.

7. PropertyFile Content And Liability

• 7.1
  ALTO has made reasonable efforts to ensure that all information provided through PropertyFile is accurate at the time of inclusion. However, some of this information is provided by third parties over which ALTO has no control and is not responsible for. It is possible that from time to time there may be occasional errors or omissions on PropertyFile, for which ALTO apologises.
• 7.2
  To the extent permitted by law, ALTO excludes all conditions, warranties, representations or other terms which may apply to PropertyFile or any content on it , whether express or implied, including without limitation any representation or warranty as to the accuracy or completeness of the contents of this PropertyFile.
• 7.3
  Any and all decisions (including but not limited to purchasing decisions) which may be based on information on this PropertyFile are entirely the responsibility of the reader. ALTO does not endorse the services of any third party referred to on PropertyFile and is not liable for the acts and/or omissions of any such third party.
• 7.4
  Nothing in this PropertyFile is intended to be, nor should it be, construed as being an offer to enter into a contractual relationship.
• 7.5
  Subject to clause 7.10, ALTO shall not be liable in contract, tort (including negligence) statutory duty or otherwise to any person for any loss or damage which may be suffered by any person in accessing, downloading, using or relying on any information or other materials contained in this PropertyFile. If you are a business user, ALTO will not be liable for any loss of profits, sales, business, or revenue, business interruption, loss of anticipated savings, loss of business opportunity, goodwill or reputation or any indirect or consequential loss or damage.
• 7.6
  If you are a consumer user, please note that PropertyFile is for domestic and private use only and you agree not to use PropertyFile for any commercial or business purpose and ALTO has no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
• 7.7
  The exclusions of liability contained in the clauses above include but are not limited to any liability for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of PropertyFile or to your downloading of any material posted on it, or on any PropertyFile linked to it.
• 7.8
  ALTO does not, to the extent permitted by law, accept any liability (whether in contract, tort, negligence or otherwise) for any external compromises of security and/ or confidentiality in relation to transmissions sent by email.
• 7.9
  Subject to clause 7.10, ALTO’s total liability in contract, tort (including negligence), statutory duty or otherwise arising out of or in connection with your use of PropertyFile and/or any materials on PropertyFile will not exceed £100.
• 7.10
  Nothing in these Terms shall restrict or exclude ALTO’s liability for death or personal injury resulting from its negligence or its liability for fraudulent misrepresentation or liability which it is otherwise not permitted by law to exclude or restrict.

8. Use Of PropertyFile And Email Communication

• 8.1
  You shall only use PropertyFile for lawful purposes. When you use PropertyFile and/or send ALTO an email, you are communicating with ALTO electronically. You consent to all communications being sent to you electronically via the email address that you provide to ALTO. You agree that such communications will satisfy any legal requirement for the communication to be in writing.

9. Visitor Material And Content

• 9.1
  Other than personally identifiable information, which is covered under ALTO’s Privacy Policy, any visitor to this PropertyFile providing information to ALTO agrees that ALTO has unlimited rights to such information and that ALTO may use such information in any way it chooses. Such information provided by the visitor shall be non-confidential and non-proprietary.
• 9.2
  ALTO shall have no obligations with respect to such material. ALTO shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.

10. Jurisdiction

• 10.1
  If you are a consumer, please note that these Terms, its subject matter and its formation, are governed by English law and shall be subject to the non-exclusive jurisdiction of the courts of England and Wales.
• 10.2
  If you are a business user, these Terms, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law and shall be subject to the exclusive jurisdiction of the courts of England and Wales.
